Terms of Use
These terms govern your use of Open Book (the "Service"), a website operated by Half Ave Company LLC ("Half Ave", "we", "us"). By using the Service you agree to these terms. If you do not agree, do not use the Service.
1. What the Service is
Open Book is a research tool that indexes and searches public condominium offering plans and amendments filed with the New York State Attorney General, together with related public data. It is provided for general information only. See the Disclaimers, which are part of these terms.
2. No advice, no offer
Nothing on the Service is legal, financial, tax, investment or real estate advice, and nothing on the Service is an offer to sell, or a solicitation of an offer to buy, any condominium unit, parking space, storage unit or other interest in real property. Half Ave is not a sponsor, selling agent, broker or law firm for any plan shown.
3. Accuracy
Content is drawn from public filings and third-party data and is processed automatically, including by reading scanned pages. It may be incomplete, out of date or wrong. You are responsible for checking the original filing and all amendments with the Attorney General, and for getting professional advice, before relying on anything you find here.
4. Acceptable use
You may use the Service for your own research, including professional research. You agree not to:
- scrape, crawl or bulk-download the Service, or query it by automated means at a volume that burdens it, without our written permission;
- interfere with, probe or attempt to bypass the Service's security or rate limits;
- resell or republish the Service, or a substantial part of its index, as your own product;
- use the Service to break any law, or to harass or harm anyone.
We may limit, suspend or block access that we believe breaks these terms.
5. Public records and our content
Offering plans and amendments are public records. We claim no ownership of them. The Service's software, design, search index, summaries, map and images, and the Open Book name are owned by Half Ave or its licensors and are protected by law. Short quotations with attribution to Open Book and to the original filing are fine.
6. Third-party sites
The Service links to the Attorney General's website, Google Maps and other third-party sites. We do not control them and are not responsible for their content, availability or practices.
7. Availability
The Service is free and may change, pause or stop at any time, with or without notice.
8. No warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF ACCURACY, COMPLETENESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.
9. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, HALF AVE AND ITS MEMBERS, OFFICERS, EMPLOYEES AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA OR OPPORTUNITY, ARISING FROM YOUR USE OF OR RELIANCE ON THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).
10. Indemnity
You agree to indemnify Half Ave against claims, losses and costs (including reasonable attorneys' fees) arising from your breach of these terms or your misuse of the Service.
11. Governing law
These terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. Any dispute will be brought only in the state or federal courts located in New York County, New York, and you consent to their jurisdiction.
12. Changes
We may update these terms. The effective date above shows when they last changed. Continuing to use the Service after a change means you accept the updated terms.
13. General
If any part of these terms is found unenforceable, the rest stays in effect. Our failure to enforce a term is not a waiver. These terms, the Disclaimers and the Privacy Policy are the entire agreement between you and Half Ave about the Service.
